1. Agreement to Terms
These Terms and Conditions (“Terms”) are a legally binding agreement between you and Sod Shop LLC, operating as Sod Shop El Paso (“we,” “us,” or “our”). They govern your use of soddeliverylc.com (the “Site”) and every order you place with us, whether through the Site, by phone, by email, by text message, or through chat. You must be at least 18 years old to place an order. By placing an order, you confirm that you have read and agree to these Terms. If you do not agree, do not use the Site or place an order.
2. Changes to These Terms
We may update these Terms by posting a new version with an updated “Last Updated” date. Each order is governed by the version of these Terms in effect when that order was placed.
3. Products
Our turf-grass is a live, perishable plant that is harvested to order. We make reasonable efforts to describe and display our products accurately, but natural variation in color, texture, thickness, and appearance is normal and is not a defect. Colors may also appear differently on electronic displays. All products are subject to availability, and prices may change without notice before an order is placed.
4. Orders and Payment
We accept Visa, Mastercard, American Express, and Discover. Full payment is required when you place an order and before delivery can be scheduled. All prices are in U.S. dollars, and sales tax may apply. You must provide accurate and current payment, contact, and delivery information. We may correct pricing errors, refuse orders, or limit quantities at our discretion.
Please place orders at least 72 hours before your desired delivery date. During peak season, up to 7 days’ notice may be needed.
Charges will appear on your card statement as SOD SHOP EP.
5. Cancellations and Changes
You may cancel or change an order up to 72 hours before your scheduled delivery. Because turf-grass is harvested to order, orders cannot be cancelled or changed within 72 hours of the scheduled delivery.
We reserve the right to withhold card processing fees from the refund on any cancelled order. If we are unable to honor the price on your order, we will notify you, and you may cancel before harvest for a full refund.
6. Delivery and Risk of Loss
Orders over 2,000 square feet within our flat-rate delivery area (see our delivery area) qualify for free delivery. Orders under 2,000 square feet within the flat-rate delivery area are subject to a $195 flat-rate delivery fee. Delivery outside the flat-rate delivery area is charged at $5 per mile from ZIP code 88008. The delivery fee for your order is shown at checkout.
You do not need to be present for delivery. Unless you give us other instructions, we will place your order in the driveway or at the nearest accessible location. Delivery vehicles and equipment may use your driveway and yard for unloading, and we are not responsible for normal wear or marks resulting from delivery.
We photograph each delivery. The delivery photo, together with its date and time, serves as proof of delivery and of the condition of the product at delivery. Title and risk of loss pass to you upon delivery.
7. Inspection and Acceptance
You must inspect your order at delivery. Any problem with quantity, quality, or condition must be reported within 24 hours of delivery, and before installation, with photo evidence sent by text message to 575-323-1365 or by email to elpaso@sodshop.com.
Installing the turf-grass, or not reporting a problem with photo evidence within 24 hours of delivery, constitutes your acceptance of the order as delivered.
8. Your Responsibility for Installation and Care
Turf-grass must be installed on the day of delivery. After delivery, whether the turf-grass roots, establishes, and survives depends on factors outside our control, including site preparation, installation timing and method, watering, irrigation coverage, heat, wind, pets, pests, and chemical applications.
By placing an order, you acknowledge that you have received and agree to follow our Sod Watering & Care Guide, including installing on the day of delivery, watering thoroughly immediately after installation, and watering daily until the turf-grass is established.
We do not guarantee that turf-grass will root, establish, or survive after delivery. Browning, drying, shrinking, gaps between pieces, or loss of turf-grass caused by delayed installation, insufficient or uneven watering, or site conditions are not defects. If turf-grass spoils or fails for any of these reasons, you remain responsible for full payment and for the cost of any reorder.
9. All Sales Final
Because turf-grass is perishable and harvested to order, all sales are final and no refunds are issued after delivery, except as provided in Section 11.
10. Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN SECTION 11, ALL PRODUCTS ARE SOLD “AS IS” AT THE TIME OF DELIVERY. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE SITE IS PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, OR UNINTERRUPTED AVAILABILITY.
11. Limited Remedy and Limitation of Liability
If you report a problem in accordance with Section 7 and we verify it, our sole obligation is, at our option, to replace the affected turf-grass or to refund the price of the affected portion.
We are not liable for installation labor, water, soil, landscaping, or any other incidental, consequential, special, or indirect costs or damages, including lost profits. Our total liability for any claim arising from an order or from your use of the Site will not exceed the amount you paid for that order, except as required by law.
12. Payment Disputes
Before disputing a charge with your card issuer, you agree to contact us in writing at elpaso@sodshop.com and to give us the opportunity to resolve your concern as described in Section 16.
A chargeback or payment dispute on an order that was delivered and accepted under these Terms is a breach of these Terms. We will respond to any payment dispute with our records, which may include your acceptance of these Terms, delivery photos with dates and times, and all communications with you. We reserve the right to recover any amounts owed, as permitted by law, and to decline future orders.
13. Communications
By placing an order, you consent to receive calls, emails, and text messages from us about your order, including scheduling, delivery confirmation and photos, care instructions, and follow-up. Message and data rates may apply. You may reply STOP to opt out of text messages.
By using the Site, emailing us, texting us, or completing online forms, you consent to receive communications from us electronically. Electronic communications, including notices sent by email, satisfy any legal requirement that a communication be in writing.
14. Use of the Site
The Site and its content, including text, images, logos, and designs, are owned or licensed by us and are protected by U.S. and international copyright, trademark, and other laws. You may use the Site for personal, non-commercial purposes only. You may not copy, reproduce, distribute, or use Site content for commercial purposes without our written permission, and you may not access the Site through automated means such as bots or scripts.
We may monitor the Site, restrict or remove content, and suspend or terminate your access at any time for any violation of these Terms or of any law. We may change, update, or discontinue the Site at any time without notice and are not liable for downtime, errors, viruses, or third-party content accessed through the Site.
15. Privacy
Our Privacy Policy is part of these Terms. The Site is hosted in the United States, and by using it you consent to your data being processed in the United States.
16. Dispute Resolution
If a dispute arises between you and us, you and we agree to first try to resolve it informally. The party raising the dispute must send written notice describing it, including by email to elpaso@sodshop.com. If the dispute is not resolved within 30 days after notice is received, either party may bring an individual claim in the courts located in Doña Ana County, New Mexico, including small claims court for claims within its jurisdiction. You and we consent to the jurisdiction and venue of those courts.
17. Governing Law
These Terms and any order placed with us are governed by the laws of the State of New Mexico, without regard to its conflict-of-law principles.
18. Indemnification
You agree to indemnify and hold harmless us and our affiliates and employees from any claims, losses, or damages, including reasonable legal fees, arising from your violation of these Terms or your infringement of the rights of any third party.
19. Miscellaneous
These Terms, together with our Privacy Policy, are the complete agreement between you and us. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. We may assign our rights under these Terms. We are not liable for delays or failures caused by events beyond our reasonable control, including weather, natural disasters, or farm or supplier disruptions. No partnership, joint venture, or agency relationship exists between you and us.
